We are OSINT Central. This document explain the rules regarding the fees paid on our osint-central.com platform.

We call these rules our Fee Agreement. By we, we mean OSINT Central and our affiliates, which we may also refer to as us.This Fee Agreement (this “Agreement”) is between you and OSINT Central B.V. as described below.

This Agreement provides information on the fees we charge for use of the Site’s communication, invoicing, dispute resolution and payment services, including Payment Protection, and includes eligible Users’ authorization for debits and credits from and to their designated bank accounts.

This Agreement is part of the Terms of Service. By clicking to accept the Terms of Service on the Site or by continuing to use the Site or the Site Services on or after the effective date noted above, you accept and agree to this Agreement.

To the extent permitted by applicable law and except as otherwise provided in the Terms of Service, we may modify this Agreement without prior notice to you, and any revisions to this Agreement will take effect when posted on the Site unless otherwise stated. So it’s important you check the site on a regular basis for updates.

However, we will provide advance notice of any increase in prices or fees affecting current Users.

To make these terms a little easier to understand, we capitalize certain terms and capitalizing them means they have a special meaning. The definitions section in this document defines some capitalized terms and others are defined throughout the Terms of Service, mainly in the User Agreement (look for quotation marks and bold font).

1. Researcher membership plan and fees

As explained in the User Agreement, we charge Researchers a Researcher Service Fee on the Researcher Fees awarded to them by Sponsors.

If a Researchers chooses for a Researcher Membership, we can charge Researchers a Researcher Membership Fee. These Researcher Membership Fees automatically renew until they are canceled as described on the Site.

Where applicable, we may also collect taxes (such as value added tax (“VAT”) in Europe) on Researcher Fees.

Additionally, the use of various Payment Methods offered through the Site and the Site Services may incur added fees or charges. All Payment Methods will be posted on the Site along with any associated fees or charges, which we may update from time to time at our sole discretion.

By selecting a Service subject to additional fees or charges, you thereby authorize us to charge to you and to collect from you (consistent with this Agreement, the User Agreement, or elsewhere in the Terms of Service) any fees, charges, or taxes described in this Section 1.

We reserve the right to change the fees of the memberships, features, services, and options offered on the Site, or institute new fees at any time, in each case upon reasonable notice posted in advance on the Site for existing Users.

1.1 Researcher Service Fee

If you are a Researcher with a Research Contract entered into with a Sponsor, the Researcher Service Fee rate is 5% of the Researcher Fees.

1.2 Researcher Membership Fee

Researchers may choose a membership with an associated membership fee (the “Researcher Membership Fee”). More details are provided in the Researcher Membership Agreement.

Researchers may also choose to purchase other features, premium services or options on OSINT Central, in each case as described on the Site at the time of purchase.

If you have a Researcher Membership Plan, you must pay the applicable fee on a monthly or yearly basis, depending on your choice, from your Researcher Escrow Account.

You irrevocably authorize and instruct us to automatically charge the fees to your Researcher Escrow Account at the beginning of each billing period. This authorization will remain in full force and effect until you change your settings in your Profile to change your Membership Plan, we inform you we are no longer supporting the Membership Plan, or you otherwise notify us that you wish to revoke your authorization by contacting Customer Support, or cancel your Account.

2. Sponsor membership plan and fees

To access the Site and use the Site Services a Sponsor must have registered for an Account as detailed in Section 1 of the User Agreement.

In order to publish a Job on the Site, Sponsor needs an active Account.

As explained in the User Agreement, we charge Sponsors a Sponsor Service Fee on the Researcher Fees awarded to Researchers.

Where applicable, we may also collect taxes (such as value added tax (“VAT”) in Europe) on Researcher Fees.

Additionally, the use of various Payment Methods offered through the Site and the Site Services may incur added fees or charges. All Payment Methods will be posted on the Site along with any associated fees or charges, which we may update from time to time at our sole discretion.

2.1 Sponsor Service Fee

The Sponsor Service Fee rate is between 15% and 10% of the Researcher Fees depending on the chosen Sponsor Membership.

2.2 Sponsor Membership Fee

Sponsors may choose a membership with an associated membership fee (the “Sponsor Membership Fee”). More details are provided in the Sponsor Membership Agreement.

Sponsors may also choose to purchase other features, premium services or options on OSINT Central, in each case as described on the Site at the time of purchase.

If you have a Sponsor Membership Plan, you must pay the applicable fee on a monthly or yearly basis, depending on your choice, from your Sponsor Escrow Account.

You irrevocably authorize and instruct us to automatically charge the fees to your Sponsor Escrow Account at the beginning of each billing period. This authorization will remain in full force and effect until you change your settings in your Profile to change your Membership Plan, we inform you we are no longer supporting the Membership Plan, or you otherwise notify us that you wish to revoke your authorization by contacting Customer Support, or cancel your Account.

3. Authorization for transaction

If and to the extent permitted by us in our sole discretion, Users may pay Researcher Fees, Membership Fees, and other fees owed under the Terms of Service from their designated bank accounts.

You may view a history of your Account transactions by logging in to the Site. You are solely responsible for promptly reconciling your Account transaction history with the transaction records for your bank account. You must notify us of any errors or discrepancies in your Account transaction history (each, an “Error”) within 30 days of when the Error could be viewed in your Account transaction history on the Site. If you do not notify us of an Error within 30 days of when the Error could be viewed in your Account transaction history on the Site, you will forfeit the right to contest the Error, except to the extent such forfeiture is prohibited by applicable law.

Subject to the foregoing notice requirement: (a) if and to the extent an Error is caused by us, we will correct the Error and (b) if an Error is caused by you, we may, but are under no obligation to, attempt to correct the Error and will offset any costs we incur from any funds returned to your bank account or your Escrow Account, as applicable.
